Unless explicitly agreed in writing, you must not:

  • Redistribute, resell, sublicense, or commercially exploit the Services
  • Upload the Services to third-party platforms or learning systems
  • Remove branding, copyright notices, or attribution

Organisational licences apply only to the number of users or scope agreed at purchase.

8. Restrictions

You must not:

  • Copy, reproduce, or distribute the Services beyond the licensed scope
  • Modify, adapt, or create derivative works from the Services
  • Use the Services for unlawful or unethical purposes
  • Misrepresent the Services as your own work or intellectual property

9. Intellectual Property

All intellectual property rights in the Services, including content, frameworks, methodologies, text, graphics, and materials, remain the property of Morgan Human Systems or its licensors.

No rights are granted other than those expressly set out in these Terms.

10. Updates and Changes to Services

You acknowledge that responsibility for ensuring compliance with current regulatory, policy, or organisational requirements rests with you and your organisation.

Changes to external standards do not, in themselves, oblige Morgan Human Systems to update, revise, or reissue the Services, unless explicitly stated at the point of purchase or in a written agreement.

12. Fees, Payment, and Refunds

Fees for the Services are payable in advance unless otherwise agreed in writing.

All fees are non-refundable except where required by law or where explicitly stated in a specific refund policy.

Where Services are purchased on behalf of an organisation, you confirm that you have appropriate purchasing authority.

13. Confidentiality

You agree to treat any non-public information disclosed through the Services as confidential.
You must not disclose, share, or reproduce such information without prior written consent, except where required by law.

This obligation survives termination of access.

14. Termination and Suspension

We may suspend or terminate access to the Services, without refund, if you:

  • Breach these Terms
  • Misuse or share the Services beyond the permitted scope
  • Act in a way that causes harm to us, other users, or third parties

Upon termination, all rights granted under these Terms cease immediately.

15. Disclaimers

We do not guarantee that the Services will be uninterrupted, error-free, or meet all individual requirements.

To the maximum extent permitted by law, Morgan Human Systems shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the Services.

Our total liability shall not exceed the amount paid by you for the relevant Service.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
